The rules that govern your use of the Postli application and the usepostli.com website. Operated by Postli Labs.
These Terms of Service ("Terms") form a binding agreement between Postli Labs ("Postli", "we", "us", "our") and the Shopify merchant or other party ("you", "your") that installs, accesses, or uses the Postli application (the "App") or the usepostli.com website (the "Site"). By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.
Postli is a software-as-a-service application for Shopify merchants. The App provides:
Postli is a business productivity app. It is not a consumer social network and does not host public user content.
To use Postli you must:
Your Postli account is bound to your Shopify shop and is authenticated through Shopify session tokens. You are responsible for keeping your Shopify staff credentials secure and for the actions taken by anyone who accesses Postli through your shop.

We may suspend or terminate accounts that violate this section.
The App connects to third-party services (Shopify and the social platforms you choose to authorise). Those services have their own terms and privacy policies that apply to your use of them. We are not responsible for changes to or interruptions in third-party APIs. Where a platform terminates or restricts API access, the corresponding feature in Postli may be limited or removed.
You retain ownership of all posts, captions, media, and other content you upload, schedule, or publish through Postli ("Your Content"). You grant Postli a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and modify Your Content solely as needed to operate the App on your behalf (for example, resizing an image to fit a platform's spec or transmitting a caption to a platform's API at the scheduled time).
You represent that you own or have the necessary rights to Your Content and that publishing it through Postli does not violate any law or third-party right.
Paid plans are billed through the Shopify Billing API; charges appear on your regular Shopify invoice. The current price and plan limits are listed on the Pricing page and inside the App. Plans renew automatically each billing cycle until cancelled.
You can cancel or change your plan at any time from inside the App. Cancellation takes effect at the end of the current billing cycle; we do not pro-rate refunds for partial cycles. Uninstalling the App from Shopify also cancels the subscription.
We may change plan pricing or limits with at least 30 days' notice. Continued use after the change constitutes acceptance.
The Free tier and any free trial are provided "as is" with the limits described on the Pricing page. We may modify or discontinue free offerings at any time.
The App, the Site, and all related software, designs, logos, and documentation are owned by Postli Labs or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your own internal business purposes during your subscription. All other rights are reserved.
"Postli" and the Postli logo are trademarks of Postli Labs. You may not use them without our prior written permission, except for fair-use references to the App.
Each party agrees not to disclose the other party's non-public information disclosed in connection with the App, except to comply with legal obligations or to the extent necessary to operate the service. This obligation does not apply to information that is or becomes public through no fault of the receiving party.
The App is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the App will be uninterrupted, error-free, or that attribution data will be complete or accurate.
To the maximum extent permitted by law, in no event will Postli Labs, its officers, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with these Terms or your use of the App, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising out of or in connection with these Terms is capped at the greater of (a) the fees you paid Postli Labs in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
You agree to indemnify and hold harmless Postli Labs and its personnel from any claim, damage, or expense (including reasonable legal fees) arising from (a) Your Content, (b) your violation of these Terms, or (c) your violation of any law or third-party right.
We may suspend or terminate your access to the App if you breach these Terms, if continued service exposes us to legal risk, or if your Shopify account is itself terminated or suspended. You may terminate at any time by uninstalling the App. Upon termination, your right to use the App ends and we will delete your data per our Privacy Policy.
Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
These Terms are governed by the laws of the jurisdiction in which Postli Labs is registered, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction, except where mandatory law in your country of residence gives you the right to bring a claim in your local courts.
We may update these Terms from time to time. Material changes will be announced inside the App and/or by email at least 14 days before they take effect. Continued use of the App after the effective date constitutes acceptance of the revised Terms. If you do not agree, you may terminate by uninstalling the App.
